To Temple Beth Israel Inc ABN A004 066N (TBI)
I, being the person named and described below, covenant with TBI as follows to:
1. acknowledge that being a Board member is a trusted position and that Board members are role models to the TBI community. I understand that the role carries with it both legal responsibilities and ethical behaviour to the highest degree. It is regarded as entering into a brit (sacred covenant).
2. undertake to carry out my fiduciary responsibilities honestly and in good faith at all times in the best interests of TBI.
3. declare all interests that could result in a conflict of interest between my personal and organisational priorities and which may conflict with my proper performance of duties as a Board member.
4. make reasonable enquiries to ensure that TBI is operating efficiently, effectively, legally and ethically in pursuit of its strategies and activities
5. attend Board meetings and devote sufficient time to prepare for meetings to allow for full participation. I understand that an unexplained absence from three consecutive meetings will result in my possible forfeiture of office at which time a Board vacancy would be created.
6. make every endeavour to complete tasks allocated to me by the agreed date or to ensure an appropriate alternative if this proves to be not possible
7. I recognise the confidentiality of all in camera discussions which take place in meetings of the Board or its committees.
8. I agree to abide by and support the decisions made by the Board whether I agree with the decisions or not, having had the opportunity beforehand to express my viewpoint,
9. When I am given access to TBI’s database or any part of it, I will not provide any part of the information to any third party other than strictly in accordance with the requirements for carrying out the task entrusted to me
10. I recognise that information of a personal nature provided to me by people I deal with in the carrying out of my tasks is confidential and must not be disclosed to any third party except where the information is required to enable TBI to update its database or where action is required by a TBI employee. (Examples of confidential information include information relating to health issues, relationship issues and finance)
11. I will not provide any financial advice or investment recommendations of a commercial nature to any TBI member except those with whom I currently have a commercial relationship nor make a referral to a third party in circumstances where I stand to make a financial gain without firstly obtaining approval from TBI.
12. I understand that the role to be carried out by me is that of a volunteer and I will not solicit or accept any financial reward of any description save and except for gifts of a negligible value.
13. I acknowledge that a breach of any of the above may result in my losing my Board position, this being at the discretion of the majority of members of the Board.
